Buyer Terms

These Buyer Terms govern purchases made from Rovy Digital Ltd, a company incorporated in England and Wales ("Rovy", "we", "our" or "us").
By completing a purchase through Rovy, you agree to these Buyer Terms.
1. About Rovy
Rovy acts as the Merchant of Record and authorised reseller for the Product you purchase.
This means that:
- you purchase the Product from Rovy;
- Rovy processes your payment and issues the relevant invoice or receipt;
- Rovy handles applicable indirect taxes and payment-related support; and
- the Supplier develops, delivers, maintains and supports the Product.
The Supplier is the business whose Product you are purchasing.
2. Placing an Order
By placing an order, you confirm that:
- the information you provide is accurate and complete;
- you are legally able to enter into a binding agreement;
- you are authorised to use the selected Payment Method; and
- your purchase complies with applicable laws.
Your order is an offer to purchase the Product. A binding contract is formed when Rovy accepts the order and provides an order confirmation.
Rovy may refuse or cancel an order where reasonably necessary to prevent fraud, correct an error, comply with applicable laws or meet the requirements of its payment partners.
Order confirmations, invoices and receipts may be provided electronically.
3. Prices, Payments and Taxes
The price payable for a Product will be displayed before you complete the purchase.
Prices may include or exclude applicable taxes depending on your location and the information displayed at checkout.
Rovy may use third-party payment providers to process payments. Available Payment Methods may vary depending on your country, currency, device and the Product.
Where currency conversion is required, an exchange rate or conversion charge may apply.
You authorise Rovy and its payment providers to charge the selected Payment Method for:
- the Product price;
- applicable taxes;
- recurring subscription charges, where applicable; and
- any other amount clearly disclosed before purchase.
If a payment is declined, reversed or cannot be completed, Rovy may cancel the order or suspend access to the Product until payment is successfully completed.
4. Product Delivery and Support
The Supplier is responsible for delivering the Product and providing technical or Product-related support.
Rovy is responsible for payment, billing, invoice, tax and refund-related enquiries.
Digital Products may be made available immediately after payment or within the timeframe shown at checkout.
You are responsible for providing a valid email address and any other information required to receive or access the Product.
If you do not receive the Product, you should contact Rovy or the Supplier using the support details provided with your order.
5. Refunds
Refund requests should be submitted to Rovy using the contact details provided with your order confirmation.
Rovy will review refund requests in accordance with these Buyer Terms, the applicable Product terms and Applicable Laws.
Where a refund is approved, it will generally be issued to the original Payment Method used for the purchase.
Refund processing times may vary depending on the Payment Method and financial institution.
Nothing in these Buyer Terms limits any statutory rights that cannot be excluded under Applicable Laws.
6. Subscriptions
If you purchase a subscription, it will automatically renew at the end of each billing period unless cancelled before the renewal date.
By purchasing a subscription, you authorise Rovy to charge your selected Payment Method for each renewal until the subscription is cancelled.
You may cancel a subscription at any time through the method provided at checkout, within the Product or by contacting Rovy.
Cancellation prevents future renewals but does not affect charges already incurred unless required by Applicable Laws.
Subscription pricing may change. Where required by Applicable Laws, Rovy will provide reasonable notice before any price change takes effect.
7. Fraud, Chargebacks and Payment Abuse
If you experience an issue with your purchase, we encourage you to contact Rovy before initiating a payment dispute so that we have an opportunity to investigate and resolve the matter.
Rovy may investigate suspected fraud, abuse or misuse of the Services.
Where Rovy reasonably believes that a Buyer has engaged in fraudulent activity, payment abuse, repeated unjustified Chargebacks or other misuse of the Services, Rovy may refuse future purchases, suspend access to the Services or take any other reasonable action necessary to protect Rovy, Suppliers or its financial partners.
Nothing in these Buyer Terms limits your right to dispute an unauthorised or incorrectly processed payment where such right is provided by Applicable Laws.
8. Intellectual Property
All intellectual property rights in a Product remain the property of the Supplier or its licensors.
Your purchase grants you only the rights expressly provided with the Product, including any applicable licence terms.
Except as permitted by Applicable Laws or the applicable licence, you must not:
- copy, modify or distribute the Product;
- reverse engineer, decompile or disassemble the Product;
- remove copyright, trademark or proprietary notices; or
- use the Product in a manner that infringes the rights of Rovy, the Supplier or any third party.
9. Product Responsibility and Disclaimers
Products are developed, maintained and supported by independent Suppliers. The Supplier is primarily responsible for the functionality, performance, delivery and technical support of the Product.
Rovy does not control the ongoing development or operation of Products and does not guarantee that a Product will meet your particular expectations or operate without interruption or errors.
Except where required by Applicable Laws, Rovy does not warrant that:
- a Product will be uninterrupted, error-free or compatible with every device or operating system;
- a Product will meet your particular requirements; or
- any defect will be corrected within a particular period.
Nothing in these Buyer Terms excludes any warranty or guarantee that cannot legally be excluded.
10. Limitation of Liability
Nothing in these Buyer Terms limits or excludes liability that cannot legally be limited or excluded under Applicable Laws.
Subject to the above, Rovy is not liable for any indirect, incidental, consequential or special loss, including loss of profits, business, goodwill or data.
Rovy's total liability arising out of or relating to a purchase will not exceed the amount paid by you for the relevant Product.
Nothing in this section affects your statutory consumer rights.
11. Suspension and Termination
Rovy may suspend or terminate your access to a Product or refuse future purchases where reasonably necessary to:
- comply with Applicable Laws;
- prevent fraud or misuse of the Services;
- protect Buyers, Suppliers or payment partners; or
- enforce these Buyer Terms.
Where reasonably possible, Rovy will notify you before taking such action.
Termination does not affect any rights or obligations that arose before termination.
12. Privacy
Your personal information is processed in accordance with the Rovy Privacy Policy.
Where necessary to deliver or support a Product, Rovy may share relevant information with the Supplier.
13. Changes to these Buyer Terms
Rovy may update these Buyer Terms from time to time.
Where required by Applicable Laws, we will provide reasonable notice before material changes take effect.
The version in effect at the time of your purchase will apply to that purchase unless otherwise required by Applicable Laws.
14. Governing Law
These Buyer Terms are governed by the laws of England and Wales.
Nothing in these Buyer Terms limits any mandatory consumer protections available under the laws of your country of residence where such protections cannot legally be excluded.
The courts of England and Wales shall have jurisdiction over any dispute arising out of or relating to these Buyer Terms, except where Applicable Laws provide otherwise.
